By creating an account, accessing, or using the Novaralis platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and the founder of Novaralis, operating as an individual pending incorporation ("Novaralis," "we," "us," or "our"). We reserve the right to update these Terms at any time. Continued use after changes are posted constitutes acceptance of the updated Terms. We will provide notice of material changes by email or in-app notification.
Novaralis is a research discovery and organization platform that helps users search scientific literature, save articles, manage research projects, and receive personalized research digests. Article content is retrieved from third-party public databases (PubMed, Europe PMC, Semantic Scholar, Crossref, OpenAlex, DOAJ, arXiv) and is subject to their respective terms and licenses.
The Service may use artificial intelligence to generate summaries, themes, and responses based on article abstracts you select. AI-generated content is provided for informational and organizational purposes only. AI outputs may contain errors, omissions, or inaccuracies and should not be relied upon as authoritative scientific conclusions.
Novaralis is a research assistance tool only. It is not a substitute for professional medical, clinical, legal, or scientific advice. Do not make clinical decisions, patient care decisions, or any other consequential decisions based solely on information found through or generated by Novaralis.
You must be at least 18 years of age to use Novaralis. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.
You must provide accurate, current, and complete information when creating your account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at hello@novaralis.com of any unauthorized use of your account.
You may not share your account with others, create multiple accounts for the same person, or use another person's account without authorization. We may suspend or terminate accounts that we reasonably believe are being used fraudulently or in violation of these Terms.
You agree not to use Novaralis to:
We reserve the right to investigate and take appropriate action against violations, including removing content, suspending or terminating accounts, and reporting conduct to law enforcement authorities.
Content you create within Novaralis — including your projects, notes, saved articles, and feedback — belongs to you. You retain all ownership rights to your content. You grant us a limited, non-exclusive, worldwide, royalty-free license to store, display, and process your content solely as necessary to provide the Service.
By submitting feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve the platform. We will never sell your personal content or notes to third parties.
You represent and warrant that you have all necessary rights to submit any content you provide, and that your content does not infringe the intellectual property rights, privacy rights, or other rights of any third party.
Removal. We may remove or restrict access to content that breaches these Terms, infringes someone else's rights, or exposes us or our users to legal risk. Where we can do so safely and lawfully we will tell you why and give you a chance to respond, because removing a researcher's work without explanation is not something we want to do quietly. If you believe material on Novaralis infringes your copyright, our notice-and-takedown process is set out on our Copyright page.
Getting your work out. While your account is open you can export your projects, references and documents at any time, in standard formats. If we ever discontinue the Service we will give you at least 30 days' notice and keep export working throughout that period. Your research should never be trapped in our product.
Article titles, abstracts, and metadata displayed in Novaralis are sourced from third-party databases including PubMed/NCBI, Europe PMC, Semantic Scholar, Crossref, OpenAlex, DOAJ, and arXiv. This content is subject to each service's respective licenses and terms. Novaralis does not host article full-texts, does not claim ownership of any scientific content displayed on the platform, and makes no representations about the accuracy, completeness, or timeliness of third-party content.
Your search queries are transmitted to these third-party services to return results. Novaralis is not responsible for the practices, content, or availability of these external services. Links to external websites are provided for convenience and do not constitute our endorsement of those sites.
The Novaralis platform, including its design, software, brand, and original content (excluding third-party article data), is owned by us and protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of our intellectual property to you.
If you believe content on Novaralis infringes your copyright, please send a DMCA notice to hello@novaralis.com with: (1) identification of the copyrighted work; (2) identification of the infringing material and its location; (3) your contact information; (4) a statement of good faith belief; and (5) a statement of accuracy under penalty of perjury. We will respond to valid DMCA notices as required by law.
Novaralis uses large language model AI (powered by Anthropic's Claude) to generate research summaries, identify themes, and answer questions about scientific literature. You acknowledge and agree that:
Novaralis is not a covered entity under HIPAA and is not designed to be a HIPAA-compliant platform. Do not enter, upload, or submit any Protected Health Information (PHI), patient data, or identifiable clinical information into Novaralis. Novaralis is intended for literature discovery and organization only, not for storing or processing clinical or patient records.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT OBTAINED THROUGH THE SERVICE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOVARALIS AND ITS OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO USE THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless Novaralis and its operators, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property right or privacy right; or (d) any content you submit to the Service that causes damage to a third party.
Novaralis is currently free and no payments are being taken. The paid plans described on our pricing page are not yet active. This section states the terms that will apply when they are, so that they are visible before anyone is asked to pay rather than after.
Billing. Paid plans are offered monthly or annually and renew automatically at the end of each billing period until cancelled. The price you are charged is the price shown at the time you subscribe. If we change prices, existing subscribers keep the price they signed up at for as long as their subscription remains active and uninterrupted; a new price applies only to new subscriptions or to a subscription restarted after cancellation. We will give at least 30 days' notice by email before any price change affects you.
Cancellation. You may cancel at any time from your account settings. Cancellation stops the next renewal; it does not end the period you have already paid for. You keep full access to your paid plan until the end of that period, after which the account reverts to the Free plan.
Your work is never held hostage. Cancelling or downgrading does not delete your projects, saved articles, notes, outlines, screening decisions, or documents. Free plan limits apply going forward, but everything you have already created remains readable and exportable. We will not delete your content because you stopped paying.
Refunds. We offer a full refund within 14 days of your first payment on any plan, for any reason, by emailing hello@novaralis.com. Beyond that window, payments already made are non-refundable except where refused by law or where we are at fault — including a material failure of the service, or a charge taken in error or after a valid cancellation. In those cases contact us and we will put it right.
Statutory rights. Nothing here limits rights you have under consumer law that cannot be waived by agreement. Consumers in the UK and EU have a statutory right to cancel a distance contract within 14 days; where that right applies it sits alongside, and is not replaced by, the refund window above.
Institutional and lab plans invoiced annually are governed by the terms of the relevant invoice or order form, which take precedence over this section where the two differ.
Taxes. Prices are shown exclusive of any sales tax, VAT, or similar charges, which will be added where we are required to collect them.
You may delete your account at any time through the Settings panel in your dashboard or by contacting us at hello@novaralis.com. Upon deletion, your data is removed from our active systems immediately, and any residual copies in encrypted backups are purged within 30 days. This action is irreversible.
We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction of such courts.
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
For any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute"), you and Novaralis agree to first attempt informal resolution by contacting us at hello@novaralis.com. If the Dispute is not resolved within 30 days, either party may submit the Dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Delaware or by videoconference, and the arbitrator's decision shall be final and binding.
Class Action Waiver: You and Novaralis each agree that any Dispute resolution proceedings shall be conducted only on an individual basis and not as part of a class, consolidated, or representative action. If for any reason a Dispute proceeds in court rather than in arbitration, you and Novaralis each waive any right to a jury trial.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.
Your right to opt out of arbitration. You may decline this arbitration agreement by emailing hello@novaralis.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Include the email address on your account. Opting out affects nothing else — your account, your price and your access are unchanged, and we will not treat you differently for it. If you opt out, disputes are resolved in the courts identified in the Governing Law section instead.
Small claims are also excluded: either party may bring an individual action in a small-claims court with jurisdiction, instead of arbitration.
The Service may be subject to United States export control laws. You represent that you are not located in a country that is subject to a U.S. government embargo or that has been designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
We shall not be liable for any failure or delay in performance resulting from causes outside our reasonable control, including natural disasters, acts of government, internet outages, power failures, acts of terrorism, or other events beyond our control.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Novaralis regarding the Service and supersede all prior agreements, representations, or understandings relating to the same subject matter.
